Legal Alert | Company representatives can now practise acts using digital signatures

Since January 7th, directors, managers and officers of public limited companies, private limited companies, single-member private limited companies and cooperatives have been able to perform various acts as such using digital signatures. This is possible through the Professional Attribute Certification System (SCAP), which allows professional positions to be associated with the digital certificates of the Citizen’s Card (CC) and the Digital Mobile Key (CMD).

Some of the new features introduced by Order no. 6-C/2025/1 of 6 January are:

– Certification of business attributes for directors, managers and officers of public limited companies, private limited companies, single-member private limited companies and cooperatives will now be granted automatically with the definitive commercial registration of the appointment to the position, as well as in the event of the termination of these functions.

– This certification is now free of charge, both when the company is incorporated and when the governing bodies are changed.

– Since 14 January, the SCAP business attribute can be used by the administrator, manager or director to access electronic summonses and notifications in the digital services area of the courts.

The signing with professional attributes is done via the Authentication.gov computer application, and the attributes must be uploaded to the application. You can then authenticate yourself and sign digital documents in the capacity and powers of the position you hold in the company.

There are two different ways to join SCAP to certify business attributes: on the one hand, certification of the capacity of director, manager or officer (joining SCAP is automatic with definitive commercial registration); on the other hand, certification of the capacity and powers of attorney (in which case joining SCAP is done on the Autenticação.gov portal).

As for the digital signature in the capacity and powers of administrator, manager and director, it can be used for the following acts:

  1. Contracts with suppliers of electricity, water, gas and telecommunications services;
  2. Contracts with other suppliers, with the limit to be set by the governing bodies;
  3. Labour contracts;
  4. Formation and execution of public contracts, within the scope of public procurement;
  5. Submission and execution of applications for funding within the limits to be set by the governing bodies;
  6. Submitting and executing applications for national and EU funds;
  7. Opening and operating bank accounts;
  8. Minutes and resolutions of the governing bodies;
  9. Receiving and collecting postal correspondence;
  10. Requesting registration acts and the registration of the beneficial owner;
  11. Receiving summonses and notifications electronically
